These Terms and Conditions (the “Terms“) are a binding agreement between you and Incorporated Insurance Services Inc., d/b/a IIS Insurance Services, Inc. (“Incorporated Insurance Services Inc.,” “IIS Insurance Services, Inc.,” “IIS Insurance Services,” “IIS,” “we,” “us,” or “our“). They govern your access to and use of https://iisinsurance.com and any related sites, subdomains, or pages we operate (the “Site“), and any quote requests, communications, or other interactions you have with us through the Site or by phone, text, email, web form, chat, or otherwise (collectively, the “Services“).
True-Name Disclosure. “IIS Insurance Services” is a registered fictitious/trade name (DBA) of Incorporated Insurance Services Inc., a California corporation. Any reference on the Site, in our marketing materials, or in customer communications to “IIS Insurance Services,” “IIS Insurance Services, Inc.,” or “IIS” is a reference to Incorporated Insurance Services Inc. Insurance products are placed, and all binding agreements with us are entered into, in the legal name Incorporated Insurance Services Inc. (California Department of Insurance License #0G56765).
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION PROVISION AND CLASS-ACTION WAIVER (SECTION 16) THAT, EXCEPT AS PROHIBITED BY LAW, REQUIRE INDIVIDUAL ARBITRATION OF MOST DISPUTES AND LIMIT THE REMEDIES AVAILABLE TO YOU. THEY ALSO INCLUDE LIMITATIONS OF LIABILITY (SECTION 13) AND A CONTRACTUAL STATUTE OF LIMITATIONS (SECTION 18). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Services.
1. About IIS Insurance Services; Nature of Services
IIS Insurance Services is a licensed insurance producer/agency operating under the legal name Incorporated Insurance Services Inc. and doing business as IIS Insurance Services, Inc. (CA Insurance License #0G56765). We arrange and place coverage with third-party insurance carriers. We are not an insurer or underwriter, and we do not issue insurance policies. Coverage, exclusions, conditions, definitions, deductibles, and limits are governed solely by the policy issued by the applicable carrier and any endorsements. In the event of any conflict between information on the Site or oral statements and the issued policy, the issued policy controls.
All insurance applications, binders, declarations pages, invoices, premium-finance agreements, certificates of insurance, customer agreements, and other binding documents are issued and executed in the legal name Incorporated Insurance Services Inc. (CA Insurance License #0G56765), even when our marketing or this Site uses the brand name “IIS Insurance Services.” References to the brand name in marketing or on the Site do not change, expand, or limit the rights or obligations of Incorporated Insurance Services Inc.
Quotes, indications, premium estimates, and similar communications are not offers to insure and are not binding. No coverage is in force until and unless a binder or policy is issued by the carrier and any required premium is received and accepted in accordance with the carrier’s procedures. Limits, terms, and pricing are subject to carrier underwriting, eligibility, and applicable law. We are licensed in the states where we transact insurance; license information is available on request and is included in the GLBA/IIPPA notice provided in connection with policies bound through us.
2. Eligibility; Authority to Bind
You represent and warrant that: (a) you are at least 18 years old or the legal age of majority in your state of residence; (b) you have the legal capacity and authority to enter into these Terms (and, if you are using the Services on behalf of a business or other entity, you have authority to bind that entity); (c) information you provide to us is and will be true, accurate, current, and complete; and (d) you will promptly notify us of any change.
3. Acceptable Use
You agree not to use the Services to: (a) violate any law, regulation, or third-party right; (b) submit false, misleading, fraudulent, or stolen information; (c) impersonate any person or misrepresent your affiliation; (d) infringe any intellectual property or proprietary right; (e) harass, defame, threaten, or harm any person; (f) introduce viruses, malware, or other harmful code; (g) attempt to gain unauthorized access to the Services or any related system, account, or data; (h) probe, scan, scrape, crawl, mine, or test the vulnerability of the Services or circumvent any security or rate-limiting feature, except as expressly authorized; (i) use any automated means (bots, agents, scripts) to access the Services or interfere with their operation; (j) collect or harvest personal information of others; (k) reverse engineer, decompile, or disassemble any part of the Services, except as required by law; (l) use the Services to compete with us or for benchmarking purposes; or (m) use the Services in any manner that could damage, disable, overburden, or impair them.
4. Quotes, Submissions, and Underwriting
You acknowledge that any information you submit through the Site (including a quote request) is used to obtain quotes from one or more carriers and may be supplemented by information from third-party sources (see our Privacy Policy). All bind requests, applications, endorsements, and cancellations must be confirmed in writing by us and the relevant carrier. You are responsible for: (a) reviewing all policy documents, declarations pages, applications, and endorsements when received and notifying us promptly of any error or omission; and (b) maintaining adequate coverage at all times. Failure to review documents or to identify errors may result in lack of coverage for which we are not responsible to the extent permitted by law.
5. Premium Payment, Cancellations, and Refunds
Premium payment terms, billing, late fees, cancellation, non-renewal, refund, and reinstatement are governed by the carrier’s policy and the carrier’s or premium finance company’s billing terms, as applicable, together with applicable state insurance law. We are not responsible for late or missed payments, lapses, or cancellations resulting from incorrect or outdated payment information you have provided, declined transactions, or your failure to maintain valid payment credentials.
6. Communications, TCPA, and SMS Consent
By providing your telephone number to us or initiating contact with us, you consent to receive calls and text messages from IIS Insurance Services and our authorized representatives at that number, including those placed by automatic dialing system, artificial or prerecorded voice, or SMS/MMS, for the purposes of responding to your inquiry, providing or following up on quotes, servicing or renewing your policy, processing claims, debt collection associated with premium owed, identity verification, and (where you have opted in) marketing. Consent to receive marketing calls or texts is not a condition of purchasing any product or service. You may opt out of marketing texts by replying STOP. Standard message and data rates may apply. Calls to or from us may be recorded and monitored as described in our Privacy Policy. You also consent to receive electronic communications from us as described in the Privacy Policy.
7. Intellectual Property; Limited License
The Site and its content (including text, graphics, logos, trademarks, service marks, photos, video, audio, software, designs, databases, and underlying code) are owned by or licensed to Incorporated Insurance Services Inc. and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use to evaluate, request, and manage insurance products in accordance with these Terms. All other rights are reserved. Nothing in these Terms transfers any IP to you. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, scrape, or otherwise exploit the Site or its content without our prior written consent.
8. User Submissions; Feedback
If you submit comments, suggestions, ideas, reviews, testimonials, or other materials (other than personal information governed by the Privacy Policy and information submitted in connection with insurance applications and claims), you grant Incorporated Insurance Services Inc. a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, publish, translate, and otherwise exploit such materials in any medium for any lawful purpose, without obligation of confidentiality, attribution, or compensation. You represent that you own or have all rights necessary to grant this license and that the materials do not violate any law or third-party right.

The Site may link to or integrate with third-party sites, applications, products, services, tools, or content. We do not control and are not responsible for any third party’s content, accuracy, availability, privacy practices, terms, or any transaction you enter into with them. Use of third-party sites and services is at your own risk and subject to their terms and policies.
10. Information Accuracy; No Reliance
While we strive to keep Site content accurate and current, we do not warrant that information on the Site is accurate, complete, or up-to-date. The Site is provided for general informational purposes and does not constitute legal, tax, financial, insurance, or other professional advice. Specific coverage advice can be provided only by a licensed representative reviewing your particular needs and is subject to the terms of any policy actually issued. Do not rely on Site content as the sole basis for any decision.
11. DMCA / Copyright Complaints
If you believe content on the Site infringes a copyright you own, please send a notice to our designated DMCA agent containing the information required by 17 U.S.C. §512(c)(3): (a) a physical or electronic signature of the rights holder or authorized agent; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. Send notices to: DMCA Agent, Incorporated Insurance Services Inc. (d/b/a IIS Insurance Services, Inc.), 13636 Burbank Boulevard, Sherman Oaks, California 91401; info@iisinsurance.com. False notices may result in liability under 17 U.S.C. §512(f).
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, IIS Insurance Services AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “IIS PARTIES“) DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. THE IIS PARTIES DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY MATERIAL OBTAINED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK.
The Services may include information about insurance products, carriers, programs, premiums, and coverages that is general and may change. Coverage is governed solely by the policy issued by the applicable carrier; nothing on the Services creates, modifies, expands, or interprets any policy obligation of any carrier. No statement on the Services is a representation that coverage exists or will be available, that any specific premium will be available, or that any application will be accepted by a carrier.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE IIS PARTIES BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, ANY QUOTE OR APPLICATION, ANY INSURANCE POLICY OR CLAIM, ANY ERROR OR OMISSION ON THE SITE, OR ANY OTHER MATTER, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, EVEN IF ANY IIS PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE IIS PARTIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WILL NOT EXCEED THE GREATER OF (A) THE COMMISSIONS ACTUALLY RECEIVED AND RETAINED BY US FROM CARRIERS IN CONNECTION WITH THE SPECIFIC POLICY OR TRANSACTION GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS ($100). MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMIT.
The limitations and exclusions in this Section 13 apply regardless of the form of action and even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of incidental or consequential damages, so some of the above exclusions or limitations may not apply to you, in which case the IIS Parties’ liability will be limited to the maximum extent permitted by law. Nothing in these Terms limits liability that, by applicable law, cannot be limited.
14. Insurance Errors-and-Omissions Disclaimer
Without limiting Section 13, you understand and agree that we are not responsible for: (a) any decision, action, or inaction by an insurance carrier, including any underwriting decision, declination, cancellation, non-renewal, claim handling, claim denial, coverage determination, or settlement; (b) the financial condition or solvency of any carrier; (c) any defect, error, omission, or ambiguity in any policy form drafted, filed, or issued by a carrier; (d) any delay caused by any carrier, premium finance company, lender, lienholder, mortgagee, or third-party service provider; (e) coverage gaps, lapses, or shortfalls arising from inaccurate, incomplete, or untimely information you provided, or your failure to maintain payments or to review and confirm policy documents promptly upon receipt; or (f) any loss, damage, or liability arising from your use of, or inability to use, any insurance product placed through us, except as specifically required by applicable law.
15. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the IIS Parties from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and expert fees) arising out of or relating to: (a) your use or misuse of the Services; (b) your breach of these Terms or any representation or warranty herein; (c) your violation of any law or regulation, or the rights of any third party (including any carrier or other person involved in an insurance transaction); (d) any content or information you submit, post, or transmit through the Services; (e) any misrepresentation, omission, or inaccurate statement in any quote request, application, or other submission; or (f) your negligence or willful misconduct. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us. You will not settle any matter without our prior written consent.
16. Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
a. Agreement to Arbitrate. Except for the disputes carved out in Section 16(c), you and IIS Insurance Services agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Services, the Site, any communications between you and us, any insurance quote, application, or transaction handled by us, or our advertising, marketing, or business practices (each, a “Dispute“) will be resolved exclusively by binding individual arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures (or, if the amount in controversy exceeds $250,000, its Comprehensive Arbitration Rules), as those rules are in effect at the time arbitration is initiated, except as modified by this Section 16. The Federal Arbitration Act (9 U.S.C. §§1 et seq.) governs the interpretation and enforcement of this arbitration agreement. The arbitration will be conducted by a single arbitrator, will take place in Los Angeles County, California (or, at your option if you are a consumer, by telephone, video conference, or in your county of residence), and will be conducted in English. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
b. Class-Action Waiver. YOU AND IIS INSURANCE SERVICES AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If a court or arbitrator determines that this class-action waiver is unenforceable as to any particular Dispute or any portion of it, then that Dispute (or that portion) will be severed from arbitration and proceed in court, while all other Disputes will continue in arbitration on an individual basis.
c. Carve-Outs. Notwithstanding the foregoing, either party may (i) bring an individual action in small-claims court for any Dispute that qualifies; (ii) seek injunctive or other equitable relief in court to protect intellectual property, confidentiality, or trade-secret rights, or to prevent unauthorized access or use of the Services; and (iii) bring claims that, by applicable law, cannot be required to be arbitrated. Disputes regarding coverage under, or claims under, any insurance policy issued by a carrier are governed by the terms of that policy and applicable insurance law, not by this Section 16, except as that policy itself provides.
d. Mandatory Pre-Arbitration Notice. Before initiating arbitration, the party asserting a Dispute will send a written notice describing the Dispute and the requested relief to the other party. Notice to us must be sent to: Incorporated Insurance Services Inc., Attn: Legal — Arbitration Notice, 13636 Burbank Boulevard, Sherman Oaks, California 91401, with a copy to info@iisinsurance.com. The parties will attempt to resolve the Dispute informally for sixty (60) days from delivery of the notice; if not resolved, either party may then commence arbitration.
e. Arbitration Costs. Each party will be responsible for its own attorneys’ fees and costs except as expressly provided in the JAMS rules, this Section 16, or applicable law. Where applicable consumer-protection laws require us to bear arbitration filing or administrative fees, we will do so to the extent required.
f. 30-Day Right to Opt Out. You may opt out of this Section 16 (Binding Arbitration; Class-Action Waiver) by sending a written notice of your decision to opt out, including your name, address, the email or phone number you used to interact with us, and a clear statement that you wish to opt out of arbitration, to: Incorporated Insurance Services Inc., Attn: Arbitration Opt-Out, 13636 Burbank Boulevard, Sherman Oaks, California 91401, or to info@iisinsurance.com. The opt-out notice must be received by us within thirty (30) days after you first accept these Terms (or within thirty (30) days after we materially modify this Section 16, with respect to that modification only). If you opt out as provided here, the remainder of these Terms will continue to apply.
g. Severability of Arbitration Provisions. If any portion of this Section 16 (other than the class-action waiver) is found unenforceable, that portion will be severed and the remainder will continue in effect. If the class-action waiver in Section 16(b) is found unenforceable as to a particular Dispute, that Dispute will be heard in court as described above, but the rest of these Terms (including the limitations of liability and the rest of this Section 16) will remain in full force.
17. Governing Law; Venue
These Terms and any non-arbitrable Dispute are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. To the extent a Dispute is not subject to arbitration under Section 16, you and we agree that any such Dispute will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to the personal jurisdiction of those courts and waive any objection to venue.
18. Contractual Statute of Limitations
To the fullest extent permitted by law, any cause of action or claim you may have arising out of or relating to these Terms or the Services (other than claims arising under an insurance policy issued by a carrier, which are governed by the policy and applicable insurance law) must be commenced within one (1) year after the cause of action accrues; otherwise, the cause of action or claim is permanently barred.
19. Force Majeure
The IIS Parties will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, internet or utility outages, governmental orders, carrier or vendor failures, or cyberattacks.
20. Accessibility
We are committed to making the Site accessible to people with disabilities and continually work to improve the user experience for everyone. If you encounter any accessibility issue, please contact info@iisinsurance.com or (877) 210-9514, and we will make reasonable efforts to address it.
21. Electronic Communications and Records
You consent to receive communications from us electronically, including by email, SMS, or by posting on the Site. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw this consent for non-essential communications at any time, but doing so may limit your ability to use certain Services.
22. Modification of the Services and Terms
We may modify, suspend, or discontinue any portion or feature of the Services at any time, with or without notice, without liability. We may also revise these Terms at any time by posting the revised version on the Site and updating the “Last Updated” date. Material changes will be highlighted on the Site or communicated by other reasonable means. Your continued use of the Services after the revised Terms become effective constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Services.
23. Termination
We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, the rights and licenses granted to you will end, but Sections 1, 7–18, 22, 23, 25–28, and any other provisions that by their nature should survive, will survive.
24. Severability; No Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be reformed to the minimum extent necessary to make it enforceable while preserving its intent. Our failure or delay in enforcing any right or provision is not a waiver of that right or provision.
25. Assignment
You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section is void. We may freely assign or transfer these Terms, in whole or in part, without notice or consent.
26. Relationship of the Parties; No Third-Party Beneficiaries
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and us. Except for the IIS Parties (who are intended third-party beneficiaries of Sections 12–18), there are no third-party beneficiaries to these Terms.
27. Entire Agreement
These Terms, together with the Privacy Policy and any GLBA/IIPPA notice, customer agreement, application, or carrier policy delivered to you in connection with a specific transaction, constitute the entire agreement between you and Incorporated Insurance Services Inc. regarding your use of the Services and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written. In the event of a conflict between these Terms and any GLBA/IIPPA notice or carrier policy, the GLBA/IIPPA notice and the carrier policy control as to the matters they address. Any ambiguity in these Terms will not be construed against the drafter.
